1. Acceptance of Terms

By accessing or using the AIProcurer platform, including our website, mobile applications, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service. These Terms apply to all users, visitors, and subscribers of the Service.

2. Description of Service

AIProcurer provides an AI-powered personal assistant platform designed to help users, particularly those aged 50 and above, navigate daily life with greater confidence and safety. The Service includes, but is not limited to: (a) AI-driven conversational chat features powered by artificial intelligence models; (b) scam detection and safety alert tools that analyze messages, calls, and websites for potential fraud indicators; (c) wellness reminder systems that provide suggestions for medication schedules, hydration prompts, and daily activity recommendations; and (d) other related software features as described on our website.

The Service is provided as a software-as-a-service (SaaS) product. AIProcurer does not provide medical advice, diagnosis, treatment, or any form of professional healthcare services. All wellness-related content generated by the Service is for informational and reminder purposes only and should not replace professional medical consultation.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise inappropriate.

4. Subscription and Payments

AIProcurer offers subscription-based plans, including Basic, Plus, and Family tiers, each with different feature sets and usage limits. All subscriptions are billed on a recurring monthly basis unless otherwise specified. Payment is processed through our third-party payment provider, Paddle, which acts as the merchant of record for all transactions.

By subscribing to a plan, you authorize us to charge the applicable fee to your designated payment method on a recurring basis until you cancel your subscription. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period; no partial refunds will be issued for the remainder of the billing cycle.

Prices may change from time to time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers. If you do not accept the new pricing, you may cancel your subscription before the increase takes effect.

5. Refund Policy

We offer a 14-day money-back guarantee on all subscription plans. If you are not satisfied with the Service for any reason within 14 days of your initial purchase, you may request a full refund by contacting our support team at support@aiprocurer.com. Refund requests must include your account email address and a brief explanation of the reason for the refund.

Refunds are typically processed within 5–10 business days. Please note that refunds may not be available for usage credits that have already been consumed, or for subscriptions that have been active for more than 14 days. 6. User Conduct

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable; (c) attempt to gain unauthorized access to any portion of the Service or any other systems or networks; (d) use the Service for any purpose that involves providing medical advice, diagnosis, or treatment; (e) harass, abuse, or harm another person; (f) impersonate another user or person; or (g) collect or store personal data about other users without their consent.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of AIProcurer and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent from AIProcurer.

You retain ownership of any content you submit to the Service. By submitting content, you grant AIProcurer a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AIPROCURER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AIPROCURER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI PROCURER MAKES NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF CONTENT GENERATED BY THE AI CHAT FEATURE.

9. Limitation of Liability

IN NO EVENT SHALL AIPROCURER, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AIProcurer is registered, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in that jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed about our policies.
